Sobapps provides the following services:

• Smart contract auditing and consulting

3. Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

• Use our services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Use our services to transmit malicious code or harmful content
• Engage in any activity that could damage our reputation or business

4. Intellectual Property

All content, features, and functionality on our website and in our services are owned by Sobapps and are protected by international copyright, trademark, and other intellectual property laws. Unless otherwise agreed in writing, all deliverables and custom work remain the property of Sobapps until full payment is received.

5. Project Agreements

Specific project terms, deliverables, timelines, and payment schedules will be outlined in separate project agreements or statements of work. These project-specific agreements supplement these Terms and Conditions.

6. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Payments are due according to the agreed schedule
• Late payments may incur additional fees
• Services may be suspended for non-payment
• All fees are non-refundable unless otherwise stated in writing

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This obligation continues even after the termination of services.

8. Warranties and Disclaimers

We strive to provide high-quality services, but we make no warranties or representations about the accuracy or completeness of our services. Our services are provided "as is" without warranty of any kind, either express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, Sobapps shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services.

10. Indemnification

You agree to indemnify and hold Sobapps harmless from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these Terms.

11. Termination

We reserve the right to terminate or suspend access to our services immediately, without prior notice, for any reason, including breach of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

14. Blockchain and Cryptocurrency Specific Terms

Given the nature of our blockchain and cryptocurrency development services, the following additional terms apply:

Smart Contract Development

• All smart contracts developed by Sobapps undergo internal testing, but clients are responsible for conducting independent security audits before deployment
• Sobapps is not liable for vulnerabilities discovered after deployment unless covered by a separate audit agreement
• Clients must provide clear specifications and requirements for smart contract functionality
• Any changes to smart contract specifications after development begins may incur additional costs

Trading Platform Development

• Clients are responsible for obtaining all necessary licenses and regulatory approvals for operating trading platforms
• Sobapps provides technical development services and does not offer legal or regulatory compliance advice
• Trading platforms must comply with applicable KYC/AML regulations in their jurisdiction
• Clients are responsible for implementing and maintaining adequate security measures post-deployment

Cryptocurrency Risks

• Cryptocurrency and blockchain technologies involve inherent risks including market volatility, regulatory changes, and technical vulnerabilities
• Sobapps does not provide investment advice or guarantee the success of any blockchain project
• Clients acknowledge that blockchain transactions are typically irreversible
• Network fees (gas fees) and blockchain-specific costs are the responsibility of the client

15. Development Process and Milestones

Our development process typically follows these stages:

• Discovery Phase: Requirements gathering, technical feasibility analysis, and project scoping
• Design Phase: Architecture design, UI/UX mockups, and technical specifications
• Development Phase: Iterative development with regular progress updates and milestone reviews
• Testing Phase: Comprehensive testing including unit tests, integration tests, and security assessments
• Deployment Phase: Deployment to testnet/mainnet with documentation and training
• Maintenance Phase: Ongoing support and maintenance as per agreement

Milestone payments are typically tied to completion of these phases as outlined in project agreements.

16. Source Code and Deliverables

• Source code ownership transfers to the client upon full payment, unless otherwise specified
• Sobapps retains the right to use general methodologies, techniques, and knowledge gained during projects
• Clients receive complete documentation including technical specifications, API documentation, and deployment guides
• Sobapps may showcase completed projects in our portfolio unless a non-disclosure agreement specifies otherwise

17. Support and Maintenance

Post-deployment support terms:

• Initial warranty period covers bug fixes for issues present at deployment (typically 30-90 days)
• Ongoing maintenance and support require a separate maintenance agreement
• Emergency support for critical issues may be available at premium rates
• Updates for third-party dependencies and blockchain protocol upgrades are not included unless specified
• Response times and support levels are defined in service level agreements (SLAs)

18. Third-Party Integrations

• Integration with third-party services (exchanges, wallets, oracles) depends on their availability and terms
• Sobapps is not responsible for changes, downtime, or discontinuation of third-party services
• Clients are responsible for obtaining necessary API keys, licenses, and permissions for third-party services
• Additional costs may apply for premium third-party services or APIs

19. Testing and Quality Assurance

• All deliverables undergo internal quality assurance testing before delivery
• Clients are encouraged to participate in user acceptance testing (UAT)
• Testnet deployment is recommended before mainnet deployment for blockchain projects
• Performance testing is conducted based on agreed specifications and expected load
• Security testing includes code review and vulnerability scanning, but formal audits require separate engagement

20. Regulatory Compliance

Clients acknowledge that:

• Cryptocurrency and blockchain regulations vary by jurisdiction and are subject to change
• Clients are solely responsible for ensuring their projects comply with applicable laws
• Sobapps recommends consulting with legal counsel regarding regulatory requirements
• Sobapps may refuse projects that appear to violate laws or regulations
• Clients must inform Sobapps of any specific regulatory requirements during the discovery phase

21. Force Majeure

Sobapps shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, pandemics, or acts of God
• Government actions, regulations, or restrictions
• Blockchain network failures or congestion
• Internet or telecommunications failures
• Cyber attacks or security breaches affecting infrastructure

22. Dispute Resolution

• Parties agree to attempt good faith negotiations to resolve any disputes
• If negotiations fail, disputes may be submitted to mediation before pursuing litigation
• Any legal action must be brought in the courts of California, United States
• The prevailing party in any dispute may be entitled to recover reasonable attorney fees

23. Non-Solicitation

During the term of engagement and for 12 months thereafter, clients agree not to directly solicit or hire Sobapps employees or contractors who worked on their project without prior written consent.

24. Data Backup and Recovery

• Clients are responsible for maintaining backups of their data and private keys
• Sobapps maintains project backups during active development but is not responsible for long-term data storage
• Loss of private keys or seed phrases may result in permanent loss of access to blockchain assets
• Disaster recovery procedures should be established as part of the deployment plan

25. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

26. Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and Sobapps regarding the use of our services and supersede all prior agreements and understandings.
